Albert Caproni, III

Education

New York University School of Law

Albert Caproni III earned his B.A. degree from Columbus College (now Columbus State University) in 1974. Mr. Caproni earned his law degree (J.D.) in 1978 from the University of Georgia where he served on the Editorial Board of the Georgia Journal of International & Comparative Law. Following graduation from law school, Mr. Caproni practiced in the tax department of Touche Ross & Co. (now Deloitte), earning his CPA certificate in 1981. Mr. Caproni worked with a financial planning firm, advising clients on business succession planning and wealth transfer before returning to New York University School of Law for further studies in tax law.

 

After earning his LL.M. in Taxation degree from New York University in 1984, Mr. Caproni practiced with a mid-sized Atlanta law firm, representing closely-held businesses and their owners until he and Mr. Cohen formed Cohen & Caproni in 1997. He has been admitted to the United States Tax Court, the 11th Circuit Court of Appeals, the Supreme Court of Georgia, Georgia Court of Appeals, and the United States District Court, Northern District of Georgia.

 

Mr. Caproni advises clients on many aspects of business planning (from start-ups to succession planning or sale of a business).  Planning includes shareholder, partnership, or operating agreements for the business, planning for mergers and acquisitions, sales or dispositions of the business, and income tax planning for all phases of the business. In addition, Mr. Caproni assists individuals with their estate planning, including preparation of Wills, creating trusts where appropriate, planning for retirement assets and estate tax issues. Mr. Caproni’s practice also includes assisting clients with the probate process.

 

Mr. Caproni is past chair of the Atlanta Bar Association Estate Planning and Probate Section, a member of the State Bar of Georgia, the American Bar Association, the Atlanta Bar Association, the North Atlanta Tax Council, the Atlanta Tax Forum, the Georgia Society of CPAs (where he serves on the Financial and Estate Planning Advisory Council) and American Institute of Certified Public Accountants. He has given numerous speeches to attorneys, CPAs, and business groups regarding use of LLCs, family limited partnerships, and S corporations and other business and estate planning topics.

Mr. Caproni is active in the Atlanta community, having served as an officer and/or board member of many local non-profit charitable or civic organizations. His outside interests include photography, travel, and old house renovations. Mr. Caproni is married and has three grown children.

Walter N. Cohen

Walter N. Cohen is a 1972 graduate of the University of North Carolina where he received a B.A. degree in Economics. He was a member of Zeta Beta Tau fraternity. Mr. Cohen earned his law degree from the University of Georgia in 1975 and an LL.M. in Taxation degree from New York University in 1976. After practicing with a law firm in St. Louis, Mr. Cohen returned home to his native Atlanta to practice with a major Atlanta law firm and a mid-sized firm before starting his own law firm in 1986. Along with his partner, Albert Caproni III, the firm of Cohen & Caproni, LLC was formed in 1997.

Mr. Cohen represents businesses and their owners in a variety of legal, tax, and estate and retirement planning matters. He has handled the formation of all types of business entities, including corporations, S corporations, and limited liability companies (LLCs) and has extensive experience in the drafting of business contracts and agreements, such as shareholder agreements, partnership agreements, operating agreements for LLCs, buy-sell agreements and employment agreements. In addition, he has counseled numerous clients with respect to matters involving non-compete, non-solicitation, and non-disclosure agreements. Mr. Cohen’s retirement practice has included the design of all forms of retirement plans, including 401(k) plans, profit sharing plans, IRAs, and defined benefit plans. His estate planning practice has included advice with respect to marital deduction planning and generation skipping trusts, as well as insurance trusts and family limited partnerships (FLPs). He has extensive experience in handling probate administration matters. His practice also includes representation of taxpayers in both examination and collection matters before the Internal Revenue Service and the Georgia Department of Revenue. He has handled numerous matters involving installment agreements and offers in compromise with the IRS and has represented taxpayers in matters before the United States Tax Court.

Mr. Cohen is a member of the State Bar of Georgia, the Missouri Bar, the American Bar Association, the Atlanta Bar Association, and the North Atlanta Tax Council. He has also served on the Board of Directors of the Atlanta Bar Association, the Estate Planning Section of the Atlanta Bar Association, and the Sole Practitioner-Small Firm Section of the Atlanta Bar Association. He served as the chair of the Sole Practitioner-Small Firm Section of the Atlanta Bar Association.

Mr. Cohen served as an adjunct professor at the University of Georgia School of Law where he taught a course in planning and drafting for the closely held business. He has been admitted to the Supreme Court of Georgia, the Georgia Court of Appeals, the United States Tax Court, the 11th Circuit Court of Appeals, and the United States District Court, Northern District of Georgia.

Mr. Cohen is married and has three adult children. His hobbies include golf and jogging.

Margaret A. Head

Margaret A. Head is a graduate of the University of Alabama and Mercer Law School. She is a former Probate Court Judge and specializes in the areas of estate planning, estate administration and probate, guardianship and conservatorships. Ms. Head’s practice also includes advising clients on charitable giving and the representation of closely held businesses. She currently assists individuals with their estate planning and probate needs, including advice on the use of wills, trusts and family partnerships, planning for retirement, and estate tax and administration issues. In addition, Ms. Head advises clients on the many aspects of business planning. This includes representation of businesses and their owners, including various aspects of business, such as structural matters, mergers, acquisitions, dispositions, and other tax planning.

 

Ms. Head is a member of the State Bar of Georgia, the Atlanta Bar Association, and the Atlanta Bar Estate Planning and Probate Section. She has been admitted to the United States Supreme Court, the Supreme Court of Georgia and the United States Tax Court. Ms. Head serves on the executive committee of the State Bar of Georgia Section on Fiduciary Law and is a graduate of the Georgia State Bar Young Lawyers Leadership Academy, a leadership and networking program recognized nationally by the ABA. Additionally, Ms. Head serves on the Board of Directors of the Georgia State Bar Young Lawyers Division. She lives in Atlanta with her husband and two sons.

Alyssa L. Myers

Alyssa earned both her Masters and Juris Doctor degrees from Georgia State University.  She focuses her practice on estate planning, divorce cases, and probate.  Alyssa routinely assists her clients with prenuptial agreements, wills, trusts, uncontested or mediated divorces, and estate administration matters.  She has been named a Super Lawyers: Rising Star for the years of 2021, 2022, 2023, 2024, & 2025.  

 

Alyssa interned for the Hon. Jane Barwick in Fulton County during law school and began her career as a prosecutor.  In 2018, she pivoted exclusively to family law where she handled contentious, high asset divorce cases.  Despite having an extensive background in litigation, Alyssa believes in keeping family matters out of court.  Alyssa works with her clients to resolve matters efficiently and economically because when family matters are litigated, the only people who win are the attorneys.

 

Alyssa is a member of the State Bar of Georgia, the State Bar of New York, the Amicable Divorce Network - Low Conflict Divorce Professionals, and the Lawyers Club of Atlanta.  She lives in Atlanta with her husband and two children.
